These Terms and Conditions (“Terms”) govern the provision of services by Boundary REPRESENTS Ltd, a company registered in England and Wales with company number 16636530 (“Boundary”, “we”, “our”, or “us”), to any client (“Client”, “you” or “your”).
By engaging Boundary, you agree to be bound by these Terms. If you do not agree, you should not proceed with our services.
1. Services
Boundary provides strategic, creative, and production services, including but not limited to:
Brand strategy and consultancy;
Community engagement and audience development;
Content creation (visual, written, digital);
Event production and management.
Details of services, deliverables, timelines, and fees will be outlined in a separate Scope of Work (“SOW”) or proposal agreed upon in writing.
2. Engagement & Onboarding
2.1. Each project engagement is confirmed through a signed proposal, quote, or SOW.
2.2. All work begins upon receipt of:
A signed agreement or written acceptance;
Any upfront payment stipulated;
Necessary information, access, and materials from the Client.
2.3. Boundary reserves the right to refuse or terminate a project if any required information is not provided in a timely or accurate manner.
3. Fees, Invoicing & Payment
3.1. All fees are set out in the agreed SOW or proposal.
3.2. Unless otherwise stated:
50% of the total fee is due upfront;
The remaining 50% is payable upon delivery or within 30 days of invoice, whichever comes first.
3.3. All prices are exclusive of VAT (if applicable).
3.4. Late payments may incur interest at 4% above the Bank of England base rate, calculated daily.
4. Changes & Revisions
4.1. Reasonable revisions are included unless otherwise specified.
4.2. Significant changes to the original brief, scope, or deliverables may be subject to additional charges and a revised timeline.
4.3. Any change requests must be made in writing.
5. Client Responsibilities
5.1. You agree to:
Provide clear and timely feedback;
Supply all necessary content, assets, approvals, or access as required;
Ensure you have all necessary rights to any materials you provide.
5.2. You warrant that your use of our services does not infringe any third-party rights or violate any laws.
6. Intellectual Property
6.1. Unless otherwise agreed:
All pre-existing IP remains the property of each party;
Boundary retains ownership of any methodologies, tools, or templates developed independently of the project.
6.2. Upon full payment, the Client is granted a non-exclusive, non-transferable licence to use the deliverables for the agreed purpose.
6.3. Boundary may showcase the work for promotional purposes unless otherwise agreed in writing.
7. Confidentiality
7.1. Both parties agree to maintain confidentiality over any non-public information disclosed during the project.
7.2. This obligation shall survive for a period of 2 years after the project ends.
8. Cancellations & Termination
8.1. Either party may terminate a project with 14 days’ written notice.
8.2. If a project is terminated early:
8.3. Boundary reserves the right to suspend or terminate work if:
The Client fails to pay on time;
There is a breach of these Terms;
The working relationship becomes untenable.
9. Liability
9.1. Boundary will use reasonable skill and care in delivering services.
9.2. However, we do not guarantee specific outcomes or results unless explicitly stated.
9.3. To the fullest extent permitted by law:
We are not liable for indirect, incidental, or consequential loss;
Our total liability under any contract shall not exceed the fees paid by the Client for the relevant project.
10. Force Majeure
Boundary is not liable for any failure or delay in performance due to events beyond its reasonable control, including but not limited to acts of God, pandemic, war, strike, or failure of suppliers or utilities.
11. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12. Miscellaneous
12.1. These Terms, together with any SOW or proposal, constitute the entire agreement between the parties.
12.2. No variation of these Terms shall be valid unless agreed in writing.
12.3. If any provision is found to be invalid, the remaining provisions shall remain in full force.
12.4. You may not assign or transfer your rights under these Terms without our written consent.
